1. Agreement to Terms

By accessing or using the website jwhorizon.engineering and engaging the services of JW Horizon Engineering ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

2. Services

JW Horizon Engineering provides bespoke website design and development, branding, SEO and digital marketing, and corporate identity services. The specific scope, deliverables, timeline, and pricing for each project will be outlined in a separate project proposal or agreement.

3. Project Proposals & Agreements

• All projects commence upon written acceptance of a project proposal and receipt of the agreed deposit.
• Project proposals are valid for 30 days from the date of issue unless otherwise stated.
• Any changes to the agreed scope will be documented as a Change Request and may affect timeline and pricing.

4. Payment Terms

• A deposit (typically 50%) is required before work commences.
• The remaining balance is due upon project completion, before final handover and deployment.
• All prices are quoted in Malaysian Ringgit (MYR) unless otherwise stated.
• Late payments may incur a late fee of 1.5% per month on outstanding balances.
• We reserve the right to suspend work on any project with overdue payments.

5. Client Responsibilities

To ensure timely delivery, clients are expected to:

• Provide all required content, assets, and materials within agreed timelines
• Provide timely feedback and approvals at each project milestone
• Designate a single point of contact for project communications
• Ensure all provided content does not infringe on any third-party rights

6. Intellectual Property

• Upon full payment, the client receives ownership of all custom design files, code, and assets created specifically for their project.
• We retain the right to use project work in our portfolio and marketing materials unless otherwise agreed in writing.
• Third-party assets (stock images, fonts, plugins) are subject to their respective licences.
• We retain ownership of any proprietary tools, frameworks, or code libraries developed independently of the client's project.

7. Revisions & Approvals

• Each project phase includes a defined number of revision rounds as outlined in the project proposal.
• Additional revisions beyond the agreed scope will be billed at our standard hourly rate.
• Signed approval at each milestone constitutes acceptance of that phase's deliverables.

8. Project Timeline

Estimated timelines are provided in good faith based on the agreed scope. Delays caused by late client feedback, content delivery, or scope changes may extend the project timeline. We will communicate any anticipated delays promptly.

9. Cancellation & Refunds

• Either party may terminate a project with 14 days' written notice.
• In the event of cancellation, the client is responsible for payment for all work completed up to the date of termination.
• Deposits are non-refundable once work has commenced.
• All completed deliverables up to the point of cancellation will be handed over upon settlement of outstanding invoices.

10. Warranty & Support

• We provide a 30-day warranty period after project launch to address any bugs or issues related to the delivered work.
• This warranty does not cover issues caused by third-party modifications, hosting environment changes, or client-made alterations.
• Ongoing maintenance and support beyond the warranty period is available under a separate maintenance agreement.

11. Limitation of Liability

JW Horizon Engineering shall not be liable for any indirect, incidental, special, or consequential damages arising from the use of our services or website. Our total liability for any claim shall not exceed the total fees paid by the client for the specific project in question.

12. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This obligation survives the termination of the business relationship.

13. Force Majeure

Neither party shall be liable for delays or failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.

14. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Malaysia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

15. Changes to Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with an updated revision date. Continued use of our services constitutes acceptance of the revised terms.
